Opening an LLC in Florida is inexpensive — but there are a few recurring costs and deadlines that catch new owners by surprise. Here is the full picture.
1. Filing with the State: $125
The Articles of Organization are filed on Sunbiz, the website of the Florida Division of Corporations. The state charges $100 for the filing plus $25 to designate your registered agent, for a total of $125.
2. The annual report: $138.75 every year
Every Florida LLC must file an annual report between January 1 and May 1, starting the year after it was formed. The fee is $138.75. File late and the state adds a $400 late fee — and if it’s never filed, the LLC can be administratively dissolved.
3. The EIN: free
Your federal tax ID (EIN) is free from the IRS. Be careful with websites that charge for it — you don’t need to pay anyone to get one, though we can request it for you as part of setting up your business.
4. Local business license
Most cities and counties require a Business Tax Receipt. In Orange County, businesses inside a city usually need one from the city and one from the county. The cost depends on the type of business and location.
5. What it really costs to do it right
- A separate business bank account from day one.
- Bookkeeping, so your profit is clear when it’s time to file.
- Quarterly estimated taxes if your LLC makes a profit.
We form your LLC, get your EIN, remind you before every annual report and keep your books — so the first year doesn’t come with expensive surprises.
